Bylaws of World Gastronomy Network Delaware Non-Profit Corporation
Article I: Name and Principal Office

Name: The name of the corporation shall be World Gastronomy Network Delaware Non-Profit Corporation (WGN).

Principal Office: The registered office of the corporation shall be located at 16192 Coastal Highway, Lewes, DE 19958, USA. The corporation may establish additional offices as determined by the Board of Directors.
Article II: Purpose and Mission

Mission: The mission of the World Gastronomy Network is to promote the national cuisines of countries worldwide as sustainable, cultural, and health-oriented values, leveraging artificial intelligence (AI), loyalty program, and social media integration. Through the WOGI app, WGN aims to connect global gastronomic communities, foster cultural diversity, and encourage healthy eating habits while driving innovation in the culinary sector. The WOGI Farm-to-Table program furthers this mission by connecting local producers directly with consumers and restaurants, reducing the ecological footprint, promoting organic foods, and fostering sustainable gastronomy through community events and digital platforms.

Nonprofit Status: WGN is organized exclusively for charitable, educational, and cultural purposes under Section 501(c)(3) of the Internal Revenue Code, with all income dedicated to these objectives and no part distributed to members, directors, or officers.

Promote national cuisines (e.g., Asian, Latin, Italian, French, Hungarian) using the WOGI app, engaging influencers and home cooks.

Utilize AI and blockchain (WOGI tokens) to support sustainable eating habits and reward eco-conscious choices.

Article III: Incorporator

Incorporator: The corporation is incorporated by Dipl.-Ing. Gabor Andras Varga, whose address is 16192 Coastal Highway, Lewes, DE 19958, USA. The incorporator’s role shall cease upon filing the Certificate of Incorporation with the Delaware Division of Corporations.
Article IV: Board of Directors

Composition: The affairs of the corporation shall be managed by a Board of Directors, initially consisting of twoo members.

Article V: Membership

Eligibility: Membership is open to individuals and organizations worldwide who support the mission, upon approval by the Board of Directors.

Dues: Annual membership dues shall be $50 for individuals and $500 for organizations, subject to Board approval.

Rights and Responsibilities: Members may participate in events and vote at annual meetings, contributing to the corporation’s goals.
Article VI: Meetings

Annual Meeting: The Board shall hold an annual meeting, with notice provided at least 30 days in advance.

Special Meetings: Special meetings may be called by the President or a majority of the Board.

Expenditures: Annual operating costs are estimated at $50,000 (events, platform development, administration).

Article VIII: Dissolution

Conditions: The corporation may dissolve by a two-thirds vote of the Board or by court order.

Asset Distribution: Upon dissolution, assets shall be distributed to another 501(c)(3) organization supporting sustainable gastronomy.
Article IX: Amendments

Process: These Bylaws may be amended by a two-thirds vote of the Board of Directors, with notice provided 30 days in advance.

Compliance: Amendments must align with Delaware Nonprofit Corporation Law and 501(c)(3) requirements.
Article X: Effective Date
This Certificate of Incorporation and Bylaws shall take effect on June 09, 2025, upon filing with the Delaware Division of Corporations.

This period will be highly dynamic for the World Gastronomy Network as we prepare for the WOGI app’s market launch in the U.S., conduct testing and market validation, write EU grant applications, seek investors, and establish strategic partnerships with professional organizations. Additionally, we will roll out the WOGI Farm-to-Table program, connecting local producers with consumers and restaurants to promote sustainable gastronomy, reduce ecological footprints, and foster organic food consumption through digital platforms and community events like gastronomic festivals. During this period, we will be implementing the 8-month European cycling tour, the WOGI EuroTaste Ride.
In this phase, we drafted the bylaws for the World Gastronomy Network Delaware Non-Profit Corporation, solidified our objectives, founded American National Dishes LLC (U.S.) and World Gastronomy Network Ltd. (EU), and reached 90% completion of the WOGI app development.
During this period, we established the World Gastronomy Network’s professional program, defined its objectives, developed its implementation concept, and made decisions on the timeline for execution and the organizational structure.
